To support our continued growth and operational excellence, we are creating a new Senior Vice President of Compliance and Legal Counsel position on our executive leadership team. This role will play a vital part in advising senior leadership and the board, ensuring legal and regulatory compliance across our organization. This role will report to the CEO. The Senior VP of Compliance and Legal Counsel will develop a deep understanding of Cassia’s internal operations and external relationships, providing expert legal guidance on employment law, contracts, governance, compliance (including HIPAA), and corporate structure. Knowledge of employment law is valued to work with external legal support already in place. This hybrid position is based in Edina, MN.

Senior VP of Compliance and Legal Counsel Responsibilities:
  • Draft, review, and revise agreements to protect Cassia’s interests and ensure consistency with legal standards.
  • Oversee the corporate compliance program and functions, including  chairing the compliance committee, investigating/responding to compliance line inquiries, and regularly update the Board.
  • Support board operations by preparing, updating and registering articles and bylaws with applicable states, drafting resolutions, and attending meetings when needed to ensure smooth governance processes.
  • Partner with leadership to manage billing concerns, liability claims, works with outside counsel on specialized legal matters, and helps define strategies and settlements related to residents, customers, or employees.
  • Provide oversight for enterprise risk management to support organizational resilience.
  • Develop and manage Cassia’s internal legal function while advising on vendor agreements and ensuring legal best practices are followed.
  • Advise on matters involving financing, organizational structure, legal entities, and fair housing compliance, including interpretation of laws and development of agreements.
  • Collaborate with various departments to reduce risk exposure and promote a culture of legal awareness across the organization.
  • Contribute to the creation and refinement of corporate policies, offering legal insight to guide decisions and operations.
  • Ensure the organization remains compliant with all applicable laws, including those related to the workforce and immigration efforts.
  • Stay current on industry trends and legal standards while exercising sound judgment in all legal matters including HIPAA.
  • Attend Board meetings to share relevant updates and provide insight on relevant Board actions.
Senior VP of Compliance and Legal Counsel Requirements:
  • Graduate of an accredited law school along with an active license to practice law in Minnesota.
  • Licensure in IA, CO, FL and or ND is a plus
  • Expertise in legal concepts of governance/corporate structure and contracts is required
  • Strong knowledge in employment law, eldercare regulatory environment and financing is a plus.
  • Strong background in developing legal strategy and managing complex litigation cases is desired.
  • Demonstrates integrity, good judgment, assertiveness, and is approachable with all Cassia constituents. 
Wage and Cassia Benefits:
  • $175,000 - $225,000 depending on experience & expertise
